Terms of Service

1. Acceptance of terms

By engaging Motif Studio Ltd ('Motif', 'we', 'us') for creative or technical services, you agree to the terms outlined in this document. These terms apply to all client engagements, proposals, and project agreements. If you do not agree, do not engage our services.

2. Scope of services

The scope of services for each project is defined in the relevant proposal or statement of work (SOW). Work outside the agreed scope may be subject to additional fees. We will notify you before proceeding with out-of-scope work where practicable.

3. Payment terms

Projects are invoiced according to the payment schedule in your SOW. Standard terms are 50% on project commencement and 50% on final delivery. Invoices are due within 14 days of issue. Late payments may incur interest at 8% per annum above the Bank of England base rate.

4. Intellectual property

Upon full payment of all invoices, Motif assigns all intellectual property rights in the final delivered work to the client. Preliminary work, rejected concepts, and internal tools remain the property of Motif unless explicitly otherwise agreed in writing. We reserve the right to display the finished work in our portfolio unless the client requests otherwise in writing.

5. Confidentiality

Both parties agree to keep confidential information received from the other party. We will not disclose your business information to third parties without consent, except where required by law. You agree not to disclose our internal processes, pricing, or methodologies.

6. Revisions and approval

Each project phase includes a defined number of revision rounds as specified in your SOW. Revisions outside this number are chargeable at our current day rate. Design approval at each phase constitutes acceptance and forms the basis for subsequent phases.

7. Cancellation

You may cancel a project at any time on 14 days' written notice. You will be liable for work completed up to the cancellation date. If the project has passed the 50% deposit stage, the deposit is non-refundable.

8. Limitation of liability

Motif's total liability under any engagement is limited to the fees paid by you for that engagement. We are not liable for indirect, consequential, or incidental damages including lost profits. Nothing in this clause limits liability for fraud or death/injury caused by negligence.

9. Governing law

These terms are governed by the laws of REPLACE WITH YOUR JURISDICTION. Any disputes shall be subject to the exclusive jurisdiction of the courts of REPLACE WITH YOUR JURISDICTION.

10. Changes to these terms

We may update these terms from time to time. Changes will be communicated via email to active clients. Continued engagement after notice of changes constitutes acceptance.
